These Terms and Conditions (the "Terms") constitute a legally binding agreement between SREYANIMTI PRIVATE LIMITED, a company incorporated under the laws of India with CIN: U46303WB2026PTC285728 and its registered office at 83, S.P MUKHERJEE ROAD, Kalighat, Kolkata, West Bengal, 700026 (hereinafter referred to as the "Company," "Soveh," "We," "Us," or "Our"), and any person or entity accessing or using the Soveh mobile application, website, or associated services (the "Platform").

By accessing, browsing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

1. Nature Of Business And Platform

Soveh operates as a technology-enabled retail supply network and marketplace. As per the Company’s Memorandum of Association (MOA), the Platform facilitates trade in groceries, cosmetics, dairy products, and consumer electronics. The Platform serves as a digital intermediary connecting:

Manufacturers and Distributors.
Retail Partners (B2B).
End Customers (B2C).

2. User Registration And Eligibility

2.1 General Requirements

Users must be at least 18 years of age and capable of entering into a legally binding contract under the Indian Contract Act, 1872.
Users must provide accurate, current, and complete information during registration, including legal name, mobile number, and address.

2.2 Retailer Verification

Retailers must provide valid business credentials, including GSTIN and shop details.
The Company reserves the right to verify such credentials and may reject or suspend any account found to be providing fraudulent information.

3. B2b And B2c Pricing Dynamics

Users acknowledge that the Platform facilitates a multi-tier supply chain.

Price Variation: Prices offered to Retail Partners (Wholesale/B2B) will differ from prices offered to End Customers (Retail/B2C) due to logistics, retail margins, and operational costs.
Market Economics: Such variations are inherent to the supply chain and do not constitute unfair trade practices.

4. Product Scope And Availability

4.1 Authorized Trade Categories

The Platform facilitates the sale of goods including, but not limited to:

Groceries & Consumables: Food grains, pulses, spices, and beverages.
Personal Care: Cosmetics, beauty items, and toiletries.
Electronics: Mobile phones, computers, and electrical appliances.
Dairy: Milk, butter, cheese, and related products.

4.2 Stock Limitations

All listings are subject to availability. The Company reserves the right to substitute products with equivalent alternatives or cancel orders due to stock shortages or pricing errors.

5. Payment And Financial Terms

Payment Modes: The Platform supports UPI, Bank Transfers, Digital Wallets, and Cash on Delivery (where applicable).
Credit Facilities: Subject to eligibility and Company approval, Retailers may be granted credit terms. Failure to adhere to credit timelines may result in legal recovery proceedings as authorized under the Company's powers to institute legal actions.
Banking Compliance: All financial dealings are subject to the directions issued by the Reserve Bank of India (RBI).

6. Logistics And Delivery

Fulfillment: Orders are fulfilled by authorized Retail Partners or third-party logistics providers.
Force Majeure: The Company shall not be held liable for delivery failures or delays caused by government restrictions, natural disasters, or disruptions in third-party logistics schedules beyond our control.

7. Returns, Refunds, And Cancellations

Eligibility: Returns are strictly limited to instances of damaged, expired, or incorrect product delivery.
Timeline: Return requests must be formally raised via the Platform within 24 hours of delivery.
Company Rights: Soveh reserves the right to cancel any order suspected of fraud or resulting from technical system errors.

8. Intellectual Property Rights

The brand "Soveh," the technology systems, application design, and logos are the exclusive intellectual property of SREYANIMTI PRIVATE LIMITED. As per the MOA, the Company is empowered to acquire, protect, and exercise rights over trademarks and patents. Unauthorized use, reproduction, or distribution is strictly prohibited and subject to legal action.

9. Technology And Ai Utilization

As part of our commitment to platform improvement, the Company utilizes data collected through the Platform to:

Develop and train Artificial Intelligence (AI) models.
Optimize supply chain algorithms and predictive analytics.
Improve automated customer support and logistics routing.

10. Limitation Of Liability

Intermediary Status: Soveh acts as a technology facilitator. We are not liable for inherent manufacturing defects in products or disputes arising between retailers and customers.
Maximum Liability: To the extent permitted by law, the Company’s total liability for any claim arising from the use of the Platform is limited to the value of the specific transaction in question.

11. Termination Of Use

The Company reserves the unilateral right to suspend or terminate any user account for violations of these Terms, engagement in fraudulent activity, or attempts to manipulate Platform pricing or systems.

12. Governing Law And Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any dispute, controversy, or claim arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts in Kolkata, West Bengal.
