Retailer Partner Agreement Policy

This Retailer Partner Agreement (the "Agreement") is a legal contract between SREYANIMTI PRIVATE LIMITED (CIN: U46303WB2026PTC285728), having its registered office at 83, S.P MUKHERJEE ROAD, Kalighat, Kolkata, West Bengal, 700026, and the registered business entity (the "Retailer") accessing the Soveh Platform.

1. Retailer Eligibility And Onboarding

1.1 Legal Status

The Retailer represents and warrants that it operates a legitimate business entity in compliance with all local, state, and central regulations.

1.2 Verification Requirements

Retailers must provide valid documentation, including but not limited to:

GSTIN (where applicable).
Trade Licenses and shop establishment proof.
Accurate geolocation and contact data for the registered place of business.

1.3 Approval Rights

The Company reserves the absolute right to approve, reject, or request further documentation from any Retailer applicant without assigning specific reasons.

2. Partner Benefits And Procurement

Registered Retailers in good standing are entitled to:

Wholesale Inventory: Access to procurement of groceries, cosmetics, dairy, and electronics at competitive B2B rates.
Supply Chain Support: Integrated logistics and distribution services through the Soveh network.
Promotional Access: Eligibility for volume-based discounts, trade schemes, and platform-exclusive offers.
Credit Facilities: Discretionary access to credit terms, subject to financial verification and internal risk assessment by the Company.

3. Retailer Obligations And Conduct

The Retailer hereby agrees to:

Data Accuracy: Ensure all business information on the Platform remains current.
Ethical Trade: Fulfill all end-customer (B2C) orders with transparency and honesty.
Quality Assurance: Maintain strict product quality and storage standards to prevent spoilage of perishable goods (e.g., dairy and food grains).
Policy Compliance: Adhere to all platform guidelines, including delivery protocols and service standards.

4. B2b Pricing And Commercial Margins

Wholesale Structure: Prices displayed to Retailers are wholesale rates ("B2B Prices") designed for resale.
Price Differentiation: Retailers acknowledge that B2C prices displayed on the Platform may include retail margins, logistics overheads, and operational costs that differ from wholesale rates.
Modification: The Company retains the right to modify pricing structures across various categories based on market volatility and supply conditions.

5. Financial Terms And Credit Governance

5.1 Payment Timelines

Retailers must strictly adhere to the payment schedules specified at the time of invoicing or within the Platform’s credit module.

5.2 Default Penalties

Failure to remit payments within the stipulated timeframe may result in:

Immediate suspension of credit facilities.
Placement of "Order Restrictions" on the account.
Permanent termination of the partnership and legal recovery proceedings as permitted under the Company’s MOA.

6. Inventory Discrepancies And Expiry

Reporting: Retailers must report damaged stock, short-shipments, or items nearing expiry within 24 hours of delivery.
Documentation: Claims must be supported by digital evidence (photographs/videos) and original invoices.
Finality: Decisions made by the Company regarding returns or credit notes for reported issues shall be final and binding.

7. Platform Rights And Amendments

The Company, as the owner of the Soveh brand and technology, reserves the right to:

Alter platform rules, fee structures, and service tiers.
Update this Agreement periodically. Continued use of the Platform after notification of changes constitutes legal acceptance of the updated Terms.

8. Termination And Breach

The Company may terminate this Agreement and revoke Platform access immediately in the event of:

Fraud: Manipulation of pricing, unauthorized use of promotional codes, or fraudulent transactions.
Policy Violation: Failure to maintain quality standards or violation of the Privacy Policy.
Insolvency: If the Retailer files for bankruptcy or ceases operations.

9. Governing Law And Jurisdiction

This Agreement is governed by the laws of India. Any dispute arising out of this relationship shall be settled through arbitration or, if necessary, shall fall under the exclusive jurisdiction of the courts located in Kolkata, West Bengal.
