This Policy (the "Program Policy") governs the terms of participation in the Soveh Retailer Loyalty and Membership Program (the "Program"). The Program is a discretionary initiative by the Company to incentivize operational excellence and community welfare within its retail supply network.

1. Program Objectives And Scope

The Program is designed to foster a sustainable digital retail ecosystem. Eligible Retailers may access tiered benefits including, but not limited to:

  • Enhanced commercial margins and pricing.
  • Priority logistics and inventory allocation.
  • Corporate Social Responsibility (CSR) aligned welfare initiatives.
  • Professional recognition and business development awards.

2. Eligibility And Admission

2.1 Criteria

To qualify for the Program, a Retailer must:

  • Be a verified and active user of the Soveh Platform.
  • Maintain a "Good Standing" status, characterized by regular procurement and adherence to the User Agreement.
  • Demonstrate compliance with local trade regulations and the Company’s ethical standards.

2.2 Verification

The Company reserves the right to conduct periodic audits of a Retailer’s business premises and transaction history to determine or maintain Program eligibility.

3. Core Membership Benefits

3.1 Commercial Incentives

Qualified members may receive preferential commercial terms, including:

  • Margin Optimization: Preferential margin adjustments ranging between 1% to 3% on select product categories.
  • Supply Priority: Priority access to high-demand inventory, particularly in the electronics and dairy segments.
  • Logistics Fast-Tracking: Expedited processing and delivery windows.

3.2 Welfare and Social Support

In line with the Company’s vision for retailer empowerment, members may be eligible for:

  • Insurance Programs: Access to group health and accident insurance schemes (facilitated via third-party providers).
  • Educational Assistance: Grant-based support for the education of the Retailer’s immediate family members.
  • Recognition Awards: Eligibility for the "Soveh Area Retailer Awards" recognizing volume, service quality, and community impact.

4. Retailer Referral Mechanism

The Company incentivizes the expansion of its network through a verified referral system.

  • Incentives: Successful onboarding of new, legitimate retailers may grant the referring partner membership upgrades or enhanced margin benefits.
  • Validation: No referral benefits shall accrue until the referred party has successfully completed their KYC verification and initial procurement cycle.

5. Performance Metrics

Membership tiers and associated rewards are evaluated based on:

  • Transaction Volume: Cumulative monthly procurement value.
  • Financial Discipline: Consistency in clearing dues and maintaining credit timelines.
  • Customer Service: Quality of fulfillment for B2C orders handled by the Retailer.

6. Welfare And Insurance Limitations

  • Third-Party Providers: Insurance and health benefits are facilitated through external service providers. The Company acts solely as a facilitator and does not act as an insurer or underwriter.
  • Claim Approval: The Company does not guarantee the approval of any insurance or welfare claims, which remain subject to the terms and conditions of the respective service providers.

7. Program Modification And Termination

7.1 Company Rights

The Company reserves the unilateral right to modify, suspend, or discontinue any aspect of the Program, including reward structures and eligibility tiers, at its sole discretion to meet operational requirements.

7.2 Participant Suspension

Membership may be revoked immediately, and all accrued benefits forfeited, in cases of:

  • Breach of the Retailer Partner Agreement.
  • Fraudulent manipulation of referral or reward systems.
  • Failure to maintain the "Good Standing" financial status.

8. Indemnity And Limitation Of Liability

  • Business Risk: Participation in the Program does not constitute a guarantee of profit or specific sales turnover. Retailers remain independent contractors responsible for their own commercial risks.
  • Liability: SREYANIMTI PRIVATE LIMITED shall not be liable for any indirect, incidental, or consequential damages arising from the participation in or the discontinuation of the Program.

9. Governing Law And Jurisdiction

This Policy is governed by the laws of India. All disputes arising from this Program shall be subject to the exclusive jurisdiction of the courts in Kolkata, West Bengal.
